Investment Friends Capital SE — Share Issue/Capital Change 2021

Zarząd Spółki Investment Friends Capital SE z siedzibą w Tallinnie informuje, że właściwy dla prawa Estonii rejestr spółek handlowych (Ariregister) dokonał w dniu 29.06.2021 roku rejestracji zmian Statutu Spółki stosownie do Uchwały nr 2 Nadzwyczajnego Walnego Zgromadzenia Akcjonariuszy z dnia 20.03.2021 roku.

W związku z niniejszym aktualne brzmienie punktu 2.1 Statutu Spółki jest następujące:

"2.1. Minimalny kapitał zakładowy Spółki to 500 000 (pięćset tysięcy) euro, a maksymalny kapitał zakładowy to 2 000 000 (dwa miliony) euro."

Aktualnie kapitał zakładowy Spółki Investment Friends Capital SE wynosi 500 532,40 EUR oraz składa się z 5 005 324 akcji bez wartości nominalnej o wartości księgowej w wysokości 0,10 EUR.

W załączeniu do niniejszego raportu Emitent przekazuje aktualne brzmienie Statutu Spółki w polskiej, angielskiej oraz estońskiej wersji językowej.

The Management Board of INVESTMENT FRIENDS CAPITAL SE with its registered office in Tallinn informs that the Commercial Companies Register (Ariregister) appropriate for Estonian law registered on June 29, 2021 the amendments to the Articles of Association of the Company resulting from the resolution no.2 adopted at the Extraordinary General Meeting of Shareholders on 20/03/2021.

As a result of this, the current wording of point 2.1 of the Company’s Articles of Association is as follows:

"2.1 The minimum amount of share capital of the Company is 500 000 euros and the maximum amount of share capital is 2 000 000 euros."

Currently, the share capital of Investment Friends Capital SE amounts to EUR 500 532,40 and consists of 5 005 324 shares without par value with a book value of EUR 0,10.
