In continuation to our letter dated 04.05.2026 on the above mentioned subject, it is informed that pursuant to the provisions of Section 161(3) of the Companies Act, 2013 and other applicable rules & regulations, approval of the Board of Directors of HCL has been accorded by way of resolution by circulation for appointment of Shri Kulveer Singh Yadav, Joint Secretary, Ministry of Mines, Government of India as part-time Official (Government Nominee) Director on the Board of HCL with effect from 07.05.2026 (i.e. the date of allotment of DIN) vice Shri Shakil Alam, EA, Ministry of Mines; until further orders.

Shri Yadav is not related to any of the Members of the Board of Directors or Key Managerial Personnel of the Company or their relatives. He is also not debarred from holding the office of Director by virtue of any SEBI order or any other such authority. A brief profile of Shri Yadav is enclosed.

Brief Profile of Shri Kulveer Singh Yadav, Part-time Official (Government Nominee) Director

Shri Kulveer Singh Yadav, a senior officer of the 2002-batch Indian Ordnance Factories Service (IOFS), currently serves as Joint Secretary in the Ministry of Mines, Government of India, and has been appointed as Part-time Official (Government Nominee) Director on the Board of Hindustan Copper Limited.

With extensive experience in general management, defence manufacturing, production, and policy implementation, he has played a key role in major strategic programmes of the Ordnance Factories Board, including the indigenous development and production of the Dhanush 155mm/45-calibre Howitzer. Empaneled at the Joint Secretary level, he brings strong expertise in industrial operations, public sector governance, and strategic project execution to HCL’s Board.
