The following is a Company Announcement issued by Hili Properties p.l.c. (the "Company") pursuant to the Capital Markets Rules issued by the Malta Financial Services Authority in accordance with the provisions of the Financial Markets Act (Chapter 345 of the Laws of Malta), as amended from time to time.

Issue of New Ordinary Shares having a nominal value of €0.20 each in Hili Properties plc (C 57954) at an Issue Price of €0.27 per share

BASIS OF ACCEPTANCE

The Board of Directors of Hili Properties plc (C 57954) (the "Company") hereby announces the basis of acceptance in respect of an offer of 185,185,185 New Ordinary Shares of a nominal value of €0.20 each at an offer price of €0.27 per New Ordinary Share (the "Shares") pursuant to a prospectus dated 25 October 2021 (the "Prospectus").

The issue period closed on 3 December 2021 and applications for a total amount of 100,892,700 Shares were submitted by authorised financial intermediaries representing 25.17% of the total issued share capital of the Company. All applications were allocated in full.

The total issued share capital of the Company amounting to 400,892,700 ordinary shares in Hili Properties p.l.c., is expected to be admitted to the Official List of the Malta Stock Exchange on 21 December 2021 and trading is expected to commence from 22 December 2021.

Upon listing of the total issued share capital of Hili Properties p.l.c. on the Official List of the Malta Stock Exchange, the shareholding will be divided in the following manner:

Hili Ventures Ltd	299,999,990 ordinary shares	74.83% of the total issued share capital
APM Holdings Ltd	5 ordinary shares	0.00% of the total issued share capital
La Toc Limited	5 ordinary shares	0.00% of the total issued share capital
New Shareholders	100,892,700 ordinary shares	25.17% of the total issued share capital

For the purpose of LR 5.176, the Board of Directors of the Company announces that Calamatta Cuschieri Investment Services Limited (in its own name and/or for the benefit of its clients) will hold 27,676,200 ordinary shares of a nominal value of €0.20 per share in Hili Properties p.l.c., representing 6.90% of the total issued share capital of the Company carrying voting rights.
