HALMA plc VOTING RIGHTS AND CAPITAL In accordance with the Financial Conduct Authority's Disclosure Rules and Transparency Rules, Halma plc ('Halma') confirms that the total number of ordinary 10 pence shares of Halma in issue at 31 August 2016 is unchanged at 379,645,332. Halma holds 462,188 shares in treasury after the transfer of 478,233 ordinary shares out of Treasury in respect of participants of the Halma plc Performance Share Plan 2005 and in satisfaction of awards which vested in accordance with the Rules of the Plan. Therefore the total number of voting rights in Halma is 379,183,144. The above figure of 379,183,144 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Halma under the FCA's Disclosure Rules and Transparency Rules.
