APPOINTMENT OF EXECUTIVE DIRECTOR AND DEPUTY MANAGING DIRECTOR
The Board is pleased to announce that Mr. Desmond Chiu has been appointed as Executive Director and Deputy Managing Director of the Company with effect from 6 May 2010.
The board of directors (the “Board”) of Far East Hotels And Entertainment Limited (the “Company”) is pleased to announce that Mr. Desmond Chiu (“Mr. Chiu”) has been appointed as Executive Director and Deputy Managing Director of the Company with effect from 6 May 2010.
Mr. Chiu, aged 43, graduated from the University of Cambridge, the United Kingdom. He was appointed as Director of the Company in 1991. In 1999, he was appointed as Executive Director and Deputy Managing Director of the Company. He resigned from those positions on 18 February 2009 due to personal reason. He is currently a Non-executive Director of Far East Holdings International Limited. He is a son of Mr. Deacon Te Ken Chiu and Madam Chiu Ju Ching Lan, brother of Messrs. Dick Tat Sang Chiu, David Chiu, Margaret Chiu, Dennis Chiu, Derek Chiu and Duncan Chiu. Those above-named persons are Directors of the Company.
Save as disclosed above, Mr. Chiu did not hold any other directorships nor any senior management positions in any Hong Kong publicly listed companies in the past three years preceding the date of this announcement.
Mr. Chiu does not have any interests in the shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (the “SFO”), except that Mr. Chiu is a son of Mr. Deacon Te Ken Chiu and Madam Chiu Ju Ching Lan, brother of Messrs. Dick Tat Sang Chiu, David Chiu, Margaret Chiu and Derek Chiu, who collectively hold approximately 52.30% shareholding interest in the Company.
Save as disclosed above, Mr. Chiu does not have any relationships with any of the Directors, senior management or substantial or controlling shareholders of the Company within the meaning of Part XV of the SFO.
There is no service contract entered into between Mr. Chiu and the Company. Mr. Chiu is entitled to a director’s fee of HK$10,000 per annum. The director’s emoluments are determined with reference to the prevailing market conditions and the Company’s remuneration policy. The term of office of Mr. Chiu is subject to retirement by rotation and re-election at the annual general meeting in accordance with the Articles of Association of the Company.
Save as disclosed above, there are no other matters about the appointment of Mr. Chiu that need to be brought to the attention of the shareholders of the Company nor any information to be disclosed pursuant to the requirements of Rule 13.51(2) of the Listing Rules.
