VOLUNTARY ANNOUNCEMENT

Update on the Proposed Privatisation of GuocoLand (Malaysia) Berhad

Reference is made to the voluntary announcement of the Company issued on 3 February 2026 (the "Announcement") in relation to the proposal by GLLM to privatise GLM by way of a selective capital reduction and repayment exercise pursuant to Section 116 of the Companies Act 2016 of Malaysia. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

The board of directors of the Company wishes to provide an update that, at the extraordinary general meeting of GLM (the "GLM EGM") held on 29 May 2026, the special resolution in respect of the Proposed Privatisation was duly passed by the disinterested shareholders of GLM.

Following the approval at the GLM EGM, the Proposed Privatisation remains subject to the fulfilment of the remaining conditions, including among others, obtaining an order from the High Court in Malaya confirming the reduction of the issued share capital of GLM, and the subsequent lodgement of such court order with the Registrar of Companies, Malaysia. Subject to the fulfilment of the conditions and based on the indicative timetable, the Proposed Privatisation is expected to be completed by the first quarter of FY2026/27.
