Subject: Notification from the company (Update Regarding the Issuance of MCBs for Settlements with the Company's Creditors)

As disclosed recently, Gulf Navigation Holding PJSC ("the Company") is conducting its operations as per normal course of business. The current interim management is fully engaged in the Company's dayto-day operations and is working on a cohesive business plan to generate value for shareholders.

On January 18, 2016, the Company's shareholders unanimously approved the issuance of mandatory convertible bonds (MCBs) to the value of AED 92 million (equivalent to USD 25 million).

The proceeds will help the Company settle its outstanding obligations towards debtors in due course. Furthermore, the Company's interim Board will seek to renegotiate all pending and unsettled claims with all parties. The Company will therefore enhance its legal representation to ensure adequate protection of its shareholders value, and ensure the continuity of the business from a position of strength.

في 18 يناير 2016 وافق مساهمو الشركة بالإجماع علهي إصدار السندات الإلزامية القابلة للتحويس بقيمــــــــــة 92 مليون در هم (أي ما يعادل 25 مليون دولار أمريكي).

إن ذلك سيساعد الشركة علـــي تسوية التزاماتها تجاه الدائنين في الوقت المناسب. وعــــلاوة على ذلك فــــإن مجلس الإدار ة المؤقت يسعى للتفاوض بشســأن جميــــع المطالبات والالتزامات المعلقسة والتسبى لسم يتسم تسويتهــــا مع جميـــــع الأطـــــــــراف. وبـالتالي فإن الشر كة ستعز ر تمثيلها القانوني لضمان الحماية الكافية لحقوق المساهمين وضمان استمر ارية الأعمال من موقع قوى.

As previously announced, the General Assembly has confirmed the membership to the board of Jassim Alseddiqi, and empowered the Vice Chairman, Salem Al Zaabi, along side Jassim Alseddiqi, to oversee management of the Company.

The Company will exercise all available means to extract the greatest possible value for its shareholders in the foreseeable and long-term future.
