Dzia~aj~c w imieniu spotki Goldman Sachs Bank Europe SE z siedzib~ we Frankfurcie nad Menem i adresem: Marienturm, Taunusanlage 9-10, 60329 Frankfurt nad Menem, Niemcy ("GS"), na podstawie art. 69 ust. 1 pkt ¹ ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrument6w finansowych do zorganizowanego systemu obrotu oraz o spotkach publicznych ("Ustawa o Ofercie"), niniejszym zawiadamiamy, ze w zwi~zku z pe~nieniem przez GS funkcji Globalnego Koordynatora pierwszej oferty publicznej ("Oferta Publiczna") akcji sp6iki Grupa Pracuj S.A. ("Sp6tka") GS naby~a w dniu 8 grudnia 2021 r. wtasnosc 4.530.431 akcji zwyklych na okaziciela Sp6tki o wartosci nominalnej 5 zl (PLN) kazda przydzielonych wybranym zagranicznym inwestorom instytucjonalnym w celu umozliwienia rozliczenia Oferty Publicznej i dostarczenia akcji tym inwestorom. Pakiet akcji Spo#ki nabyty przez GS, o ktorym mowa w zdaniu poprzedzaj~cym, reprezentuje 6,65% kapitatu zalc~adowego Spo~ki oraz ogolnej liczby g~osow w Spoke.

Przed nabyciem pakietu akcji Sp6~ki, o ktorym mowa w akapicie poprzedzaj~cym, GS nie posiadata akcji Spotki.

Po nabyciu pakietu akcji Sp6tki, o ktorym mowa powyzej, GS posiada 4.530.431 akcji zwyk~ych na okaziciela Sp6~ki o warto§ci nominalnej 5 PLN kazda, reprezentuj~cych 6,65% kapita~u zalciadowego Spo~ki oraz ogolnej liczby g~osow w Sp61ce.

Ponadto GS informuje, ze:

(i) nie istniej~ podmioty zalezne GS posiadaj~ce akcje (i) no subsidiary of GS holds shares in the Company; Spo~ki;

Acting on behalf of Goldman Sachs Bank Europe SE with its registered office in Frankfurt am Main and address: Marienturm, Taunusanlage 9-10, 60329 Frankfurt am Main, Germany ("GS"), pursuant to Article 69.1.1 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organir_ed Trading, and Public Companies of 29 July 2005 (the "Public Offering AcY'), we hereby notify you that in connection with the GS' role as the Global Coordinator of initial public offering ("Public Offering") of shares in Grupa Pracuj S.A. (the "Company") GS acquired on 8 December 2021 the ownership of 4,530,431 Company's ordinary bearer shazes, with the nominal value of PLN 5 each, allocated to certain international institutional investors in order to enable the settlement of the Public Offering and the delivery of shares to such investors. The stake of Company's shares acquired by GS and referred to in the preceding sentence represents 6.65% of Company's share capital and total number of votes in the Company.

Prior to the acquisition of the stake of Company's shares referred to in the preceding paragraph, GS did not hold any shares in the Company.

Following the acquisition of the stake of Company's shares referred to above, GS holds 4,530,431 ordinary bearer shares in the Company, with a nominal value of PLN 5 each, representing 6.65% of the Company's share capital and total number of votes in the Company.

Furthermore, GS informs that:

• (ii) GS nie jest strong jakichkolwiek umow, kt6rych przedmiotem jest przekazanie uprawnienia do wykonywania prawa g~osu z akcji Sp6tki w rozumieniu art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie;
• (iii) GS nie jest posiadaczem instrumentow finansowych, na podstawie ktorych jest uprawniona lub zobowi~zana do nabycia akcji Sp61ki na warunkach wskazanych w art. 69 ust. 4 pkt 7 Ustawy o Ofercie; oraz
• (iv) GS nie jest posiadaczem instrumentow finansowych w sposob bezposredni lub posredni odnosz~cych sig do akcji Spotki, o ktorych mowa w art. 69 ust. 4 pkt 8 Ustawy o Ofercie.

Dodatkowo, GS informuje, ze nabycie akcji Spolki wskazanych powyzej nie nast~pifio w wyniku zobowi~zania GS w zakresie gwarantowania Oferty.

• (ii) GS is not a party to any agreements on the transfer of rights to exercise voting rights attached to shares in the Company within the meaning of Article 87.1.3(c) of the Public Offering Act;
• iii) GS does not hold any financial instruments under which GS is authorized or obliged to acquire shares in the Company on the terms and conditions stipulated in Article 69.4.7 of the Public Offering Act; and

iv) GS does not hold any financial instruments directly or indirectly related to shares in the Company, referred to in Article 69.4.8 of the Public Offering Act.

In addition, GS informs that the acquisition of the Company's shares referred to above was not made under the GS' underwriting commitment with respect to the Offering.
