NOTICE ON THE ACQUISITION OF LARGE BLOCK OF SHARES IN GRUPA PRACUJ S.A.

Działając w imieniu spółki Citigroup Global Markets Europe AG z siedzibą we Frankfurcie nad Menem i adresem: Reuterweg 16, 60323 Frankfurt nad Menem, Niemcy ("CGME"), na podstawie art. 69 ust. 1 pkt 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa o Ofercie"), niniejszym zawiadamiamy, że w związku z pełnieniem przez CGME funkcji Globalnego Koordynatora pierwszej oferty publicznej ("Oferta Publiczna") akcji spółki Grupa Pracuj S.A. ("Spółka") CGME nabyła w dniu 8 grudnia 2021 r. własność 4.761.000 akcji zwykłych na okaziciela Spółki o wartości nominalnej 5 zł (PLN) każda przydzielonych wybranym zagranicznym inwestorom instytucjonalnym w celu umożliwienia rozliczenia Oferty Publicznej i dostarczenia akcji tym inwestorom. Pakiet akcji Spółki nabyty przez CGME, o którym mowa w zdaniu poprzedzającym, reprezentuje 6,99% kapitału zakładowego Spółki oraz ogólnej liczby głosów w Spółce.

Przed nabyciem pakietu akcji Spółki, o którym mowa w akapicie poprzedzającym, CGME nie posiadała akcji Spółki.

Po nabyciu pakietu akcji Spółki, o którym mowa powyżej, CGME posiada 4.761.000 akcji zwykłych na okaziciela Spółki o wartości nominalnej 5 PLN każda, reprezentujących 6,99% kapitału zakładowego Spółki oraz ogólnej liczby głosów w Spółce.

Ponadto CGME informuje, że:

(i) nie istnieją podmioty zależne CGME posiadające akcje Spółki;

Acting on behalf of Citigroup Global Markets Europe AG with its registered office in Frankfurt am Main and address: Reuterweg 16, 60323 Frankfurt am Main, Germany ("CGME"), pursuant to Article 69.1.1 of the Act on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and Public Companies of 29 July 2005 (the "Public Offering Act"), we hereby notify you that in connection with the CGME's role as the Global Coordinator of initial public offering ("Public Offering") of shares in Grupa Pracuj S.A. (the "Company") CGME acquired on 8 December 2021 the ownership of 4,761,000 Company's ordinary bearer shares, with the nominal value of PLN 5 each, allocated to certain international institutional investors in order to enable the settlement of the Public Offering and the delivery of shares to such investors. The stake of Company's shares acquired by CGME and referred to in the preceding sentence represents 6.99% of Company's share capital and total number of votes in the Company.

Prior to the acquisition of the stake of Company's shares referred to in the preceding paragraph, CGME did not hold any shares in the Company.

Following the acquisition of the stake of Company's shares referred to above, CGME holds 4,761,000 ordinary bearer shares in the Company, with a nominal value of PLN 5 each, representing 6.99% of the Company's share capital and total number of votes in the Company.

Furthermore, CGME informs that:

(i) no subsidiary of CGME holds shares in the Company;

• (ii) CGME nie jest stroną jakichkolwiek umów, których przedmiotem jest przekazanie uprawnienia do wykonywania prawa głosu z akcji Spółki w rozumieniu art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie;
• (iii) CGME nie jest posiadaczem instrumentów finansowych, na podstawie których jest uprawniona lub zobowiązana do nabycia akcji Spółki na warunkach wskazanych w art. 69 ust. 4 pkt 7 Ustawy o Ofercie; oraz
• (iv) CGME nie jest posiadaczem instrumentów finansowych w sposób bezpośredni lub pośredni odnoszących się do akcji Spółki, o których mowa w art. 69 ust. 4 pkt 8 Ustawy o Ofercie.

Dodatkowo, CGME informuje, że nabycie akcji Spółki wskazanych powyżej nie nastąpiło w wyniku zobowiązania CGME w zakresie gwarantowania Oferty.

Niniejsze zawiadomienie zostało sporządzone w dwóch wersjach językowych, tj. polskiej i angielskiej. W przypadku rozbieżności między obu wersjami językowymi wiążąca jest wersja angielska.

• (ii) CGME is not a party to any agreements on the transfer of rights to exercise voting rights attached to shares in the Company within the meaning of Article 87.1.3(c) of the Public Offering Act;
• (iii) CGME does not hold any financial instruments under which CGME is authorized or obliged to acquire shares in the Company on the terms and conditions stipulated in Article 69.4.7 of the Public Offering Act; and
• (iv) CGME does not hold any financial instruments directly or indirectly related to shares in the Company, referred to in Article 69.4.8 of the Public Offering Act.

In addition, CGME informs that the acquisition of the Company's shares referred to above was not made under the CGME's underwriting commitment with respect to the Offering.

This Notice has been executed in two language versions, i.e. in Polish and in English. In case of any discrepancies between the language versions, the English language version shall prevail.
