Title: Closing of the transaction regarding acquisition of shares inSpoonbill Holding GmbH

With reference to the current report no. 13/2022 dated June 14, 2022,the Management Board of Grupa Pracuj S.A. (the "Company") informs thaton June 24, 2022 closing of the transaction regarding acquisition by theCompany of 25,000 shares representing 100% of the share capital inSpoonbill Holding GmbH and indirectly 100% shares in Spoonbill GmbH,softgarden e-recruiting GmbH and absence.io GmbH from Eden InvestmentS._#224; r.l. (controlled by the alternative investment firm Investcorp) andStefan Sch_#252;ffler Beteiligungs UG (haftungsbeschr_#228;nkt) (the"Transaction") took place.

The parties confirmed the closing of the Transaction, including paymentof the total final purchase price amounting to EUR 117,602,664 and thetransfer of the legal title to the acquired shares to the Company bysigning the relevant closing memorandum on June 27, 2022.

At the same time, the Management Board of the Company informs that forthe purposes of financing part of the purchase price the Company drewdown funds in the amount of PLN 399,999,999 from the term loan, aboutwhich the Company informed in the current report no. 11/2022 dated June14, 2022.
