Milan, 19 May, 2023 – Growens S.p.A. –GROW (the "Company" or the "Issuer" or "Growens"), a company admitted to trading on the multilateral trading facility Euronext Growth Milan and operating in the cloud marketing technology field, announces that the Presidency of the Council of Ministers notified the resolution of non-exercise of Italian Government special powers under D.L. 15 March 2012, n. 21, amended and converted into L. 11 May 2012, n. 56 by the Coordination Group under art. 3 of D.P.C.M. 1 August 2022, n. 133 (so-called "Golden Power"), regarding the Email Service Provider business sale.
Also, the Spanish Ministry of Industry, trade and tourism (Ministerio de industria, comercio y turismo) notified that the ESP business sale is not subject to authorization under art. 7-bis of Law 4 July 2003, n. 19.
The above-mentioned Government authorizations represent regulatory conditions precedent to the closing of the Email Service Provider Business sale.
