CLEANSING STATEMENT

Greenwing Resources Ltd (ASX:GW1) (the ‘Company’) advises that it has issued 15,700,001 ordinary shares pursuant to the Equity Raising announcement on 7 August 2024.

The shares were issued at a price of $0.038 per share and utilise the Company’s existing placement capacity available under listing rule 7.1.

The Company hereby notifies ASX under paragraph 708A(5)(e) of the Corporations Act (Act) that:

• (a) the Company issued the Shares without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this Notice, the Company has complied with:

  • (1) the provisions of Chapter 2M of the Act as they apply to the Company; and

  • (2) section 674 of the Act; and

• (c) as at the date of this Notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act.
