ASX Announcement Cleansing Statement 6 December 2021

Greenwing Resources Ltd (ASX:GW1)(the ‘Company’) advises that, as announced on 6 December 2021, it has issued a total of 6,599,118 ordinary shares following the issue of shares recently approved by shareholders, shares issued to a consultant and conversion of unlisted convertible notes, which rank equally with all other shares on issue.

The Company hereby notifies ASX under paragraph 708A(5)(e) of the Corporations Act (Act) that:

• (a) the Company issued the Shares without disclosure to investors under Part 6D.2 of the Act;

• (b) as at the date of this Notice, the Company has complied with:

• (1) the provisions of Chapter 2M of the Act as they apply to the Company; and

• (2) section 674 of the Act; and

• (c) as at the date of this Notice, there is no information that is ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Act.

This announcement has been approved by the Company Secretary for release.
