Notice under section 708A and Information Under Listing Rule 3.10.5A

Notice under section 708A

Bass Metals Ltd (“Company”) hereby notifies the Australian Securities Exchange in accordance with section 708A(5)(e) of the Corporations Act 2001 (“Act”) that:

1. The Company issued 27,120,000 fully paid ordinary shares (“Securities”) on 20 March 2019.

2. The Act restricts the on-sale of securities issued without disclosure, unless the sale is exempt under section 708 or 708A of the Act. By giving this notice, sale of the Securities will fall within the exemption in section 708A(5) of the Act.

3. The Securities were issued without disclosure to investors under Part 6D.2 of the Act, in reliance on section 708A(5).

The Company, as at the date of this notice, has complied with:

• a) The provisions of Chapter 2M of the Act as they apply to the Company; and

• b) Section 674 of the Act.

As at the date of this notice, there is no excluded information for the purposes of section 708A(7) or section 708A(8) of the Act.

Information Under Listing Rule 3.10.5A

Further to the Appendix 3B released 20 March 2019, for the issue of 27,120,000 fully paid ordinary shares raising $339,000 (before costs) under the deferred placement announced on 14 December 2018 (“Deferred Placement”), Bass Metals Ltd (“Company”) (ASX: BSM) provides the following information required under ASX Listing Rule 3.10.5A in respect of those shares issued under ASX Listing Rule 7.1A.

(a) The dilution to existing shareholders as a result of the issue of the 15,228,720 shares under ASX Listing Rule 7.1A pursuant to the Deferred Placement is as follows:

(d) The Company will pay fees and costs of approximately $20,340 in connection with the Deferred Placement funds raised.
