Dear Sir / Madam,
In continuation of our earlier communication dated July 09, 2025, regarding the proposal to enter into Joint Venture Agreement (‘JVA’) with Jinos Co., Ltd. (‘Jinos’), for investment by way of subscription into Jinhap Automotive India Private Limited (now known as Jinhap Gabriel Auto India Private Limited) (‘JV Co.’) and October 31, 2025, regarding the intimation for extension of Closing Date as defined in the Share Subscription Agreement, we wish to inform you that the Closing Date, being the deadline for Closing and the effective date of the JVA governing JV Co., has been further extended.
The Closing Date has been revised from October 31, 2025 (previously extended to December 31, 2025 ) to February 28, 2026 to provide additional time for the successful completion of the remaining conditions precedent.
