Sub: Intimation of Effective Date of the Composite Scheme of Arrangement – Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”)

This is with reference to, and in furtherance of, our disclosures dated May 11, 2026, and May 19, 2026, in connection with the Composite Scheme of Arrangement (“Scheme”) amongst Anchemco India Private Limited (formerly known as Andasia Private Limited) (“Transferor Company”), Asia Investments Private Limited (“Transferee Company” for Part C and “Demerged Company” for Part D of the Scheme) and Gabriel India Limited (“Resulting Company” or the “Company”) and their respective shareholders, as sanctioned by the Hon’ble National Company Law Tribunal, Mumbai Bench (“Hon’ble NCLT”) vide its Order dated May 11, 2026 (“Order”).

We wish to inform you that the Transferor Company, Transferee Company / Demerged Company and Resulting Company have filed the certified copy of the Order and the Scheme with the Registrar of Companies (“ROC”) today, i.e., May 22, 2026. Accordingly, in terms of the Scheme, the Scheme has become operative effective from May 22, 2026 (“Effective Date”).

With effect from the Effective Date, the Transferor Company stands amalgamated with the Transferee Company and dissolved without being wound up (Part C of the Scheme) and the Demerged Undertaking of the Demerged Company stands transferred to and vested in the Company on a going concern basis (Part D of the Scheme), in accordance with the terms and conditions of the Scheme and the Order of the Hon’ble NCLT.

This disclosure is being made in terms of Regulation 30 of the SEBI Listing Regulations. We request you to kindly take the same on record.
