FRO - shareholding disclosure

Reference is made to the completed merger between

Frontline Ltd. (NYSE/OSE: FRO) ("Frontline") and

Frontline 2012 Ltd. ("Frontline 2012"). Hemen Holding

Limited, which is indirectly controlled by trusts

established by John Fredriksen for the benefit of his

immediate family, has today received 377,713,060

shares in Frontline as merger consideration in the

merger. As a consequence, Hemen Holding Limited's

ownership in Frontline is 404,017,113 shares equalling

51.67% of the shares and votes in the company (based

on a total of 781,937,956 shares outstanding)
