Item 5.02(b). Departure of Directors or Principal Officers

Robert J. Janoff, a director of our Company since 1989, passed away on May 15, 2020. He served the Company well and we will miss him.

We do not anticipate that we will select a replacement for Mr. Janoff prior to the Annual Meeting of Stockholders on June 15, 2020. Votes already cast For (or Against) Mr. Janoff will not count.
