Item 2.02(a) Results of Operations and Financial Condition.

We reported the results of operations and financial condition of the Company for the third quarter of Fiscal 2026 which ended March 31, 2026 in a press release dated May 11, 2026.

Pursuant to the rules and regulations of the Securities and Exchange Commission, the Press Release is attached to this Report as Exhibit 99.1 and the information contained in the Press Release is incorporated into this Item 2.02 by reference. This communication is being made in respect of the Transactions involving the Company, Parent and Merger Sub.
