Item 5.02(d). Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

Robert M. Carrino was selected by the remaining four directors of the Company to fill the vacancy in the Board of Directors left by Claudette J.V. Chan, who retired from her position on June 19, 2025. Mr. Carrino is an independent director as defined under the NASDAQ Rules.

Mr. Carrino is a Certified Public Accountant and a partner with CFGI, LLC in New York, NY where he leads the firm’s SPAC practice.
