EXPIRY OF LISTED OPTIONS (ASX: FRXO)

Flexiroam Limited (ASX: FRX ) ( Flexiroam or the Company ) wishes to advise that 65,620,842 quoted options, exercisable at $0.12 each (trading under ASX code FRXO) ( Options ) will expire at 5pm (WST) on Monday, 31 October 2022 ( Expiry Date ).

Official quotation of the Options on ASX will cease at close of trading on Tuesday, 25 October 2022, being four business days before the Expiry Date.

The Company notes that the Options are substantially “out of the money” and advises that it will not be dispatching personalised notices to option holders in accordance with Item 5.3 of Appendix 6A to the Listing Rules.

In accordance with Item 5.2 of Appendix 6A, the Company provides the following information to holders of the Options:

• 1. the total number of Options on issue is 65,620,842;
• 1. the number of fully paid ordinary shares in the Company to be issued on the exercise and conversion of the Options is 65,620,842;
• 1. the exercise price for each Option is $0.12 each (12 cents);
• 1. the due date for payment of the exercise price is 5pm (WST) on Monday, 31 October 2022 ( Expiry Date );
• 1. if payment is not received by the Expiry Date, the Options will expire unexercised and all rights attaching to the Options will cease;
• 1. official quotation of the Options on ASX will cease at close of trading on Tuesday, 25 October 2022, being four business days before the Expiry Date;
• 1. the market price of the Company’s shares on Thursday, 29 September 2022, was $0.039, (3.9 cents) being the latest available market price of shares on ASX prior to the date of this announcement;
• 1. during the three months preceding the date of this announcement:

  • the highest market price of the Company’s shares on ASX was $0.054 (5.4 cents) on 10 August 2022; and

  • the lowest market price of the Company’s Shares on ASX was $0.03 (3 cents) on 14 July 2022; and

• 1. as at the date of this announcement, there are no underwriting agreements in relation to the Options.

If the market price of the Company’s shares exceeds $0.09 (9 cents) before the Expiry Date, the Company will immediately send an option expiry notice to holders of the Options.
