SHARE PLACEMENT TO CONTINUE GROWTH INITIATIVES
Flexiroam Limited (ASX: FRX) (Company) is pleased to announce it has completed a placement of 19,368,950 fully paid ordinary shares to a sophisticated professional investor to raise approximately $775,000 (‘Placement’).
The proceeds of the Placement will be used to fund the Company’s marketing and development activities, including the launch of its eSim product, as well as to provide general working capital.
The placement has been made to an investor qualifying under Section 708 of the Corporations Act and the Company has used its existing issuance capacity under Listing Rule 7.1A to complete the issue. The investor is not a related party of the Company.
Notice under Section 708A(5)(e) of the Corporations Act 2001 (Cth)
In relation to the issue of 19,368,950 new shares under the Placement without disclosure to investors under Part 6D.2 of the Corporations Act, the Company provides the following notice.
The Company hereby states that as at the date of this notice:

it has complied with:

(a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company, and

(b) section 674 of the Corporations Act; and

as at the date of this notice, there is no “excluded information” (as defined in subsections 708A(7) and 708A(8) of the Corporations Act) which is required to be disclosed by the Company.
The relevant ASX Appendix 3B follows this announcement.
