SHARE PLACEMENT AND ISSUED CAPITAL
Flexiroam Limited (ASX: FRX) (Company) refers to its announcement dated 3 May 2019 regarding the placement of 19,368,950 fully paid ordinary shares at an issue price of $0.04 per share to raise approximately $775,000 (‘Placement’). The placement price represents a discount of 9.3% over the 15-trading day volume weighted average price of the Company’s shares up to 3 May 2019.
Due to this Placement being completed utilising the Company’s issuance capacity under ASX Listing Rule 7.1A the Company provides the following information in accordance with Listing Rule 3.10.5A:
- ➢ The placement represents a dilution of 8% to existing holders of ordinary shares. The table below outlines the effect of the Placement on the Company’s issued capital:

➢ The Company elected to utilise its placement capacity under Listing Rule 7.1A rather than a pro rata or other type of issue where existing holders would be eligible to participate in order to gain immediate access to capital to fund its Malaysia Airlines project ( refer ASX announcement dated 11 December 2018 ). Importantly, no costs were incurred by the Company in undertaking the Placement.
