DIRECTOR RESIGNATION AND CORPORATE UPDATE

Flexiroam Limited (the Company ) ( ASX: FRX ) advises that Mr Tat Seng Koh has notified the Company of his intention to step down as Non-Executive Chair with effect on 31 December 2025, and provides an update on the following corporate matters.

Director Resignation

Mr Koh has been a Non-Executive Director of the Company since 3 September 2018 and has chaired the Board since December last year. His fellow directors wish to express their sincere thanks to Mr Koh for his service and contribution to the Company and wish him all the very best in his future endeavors.

Extension of CEO Loan Agreement

The Company advises that the CEO loan agreement between the Company and Mr Jef Ong of $750,000[1] ( CEO Loan Agreement ) has been extended to 13 November 2026.

The terms of the CEO Loan Agreement remain unchanged and is subject to a 12% per annum interest rate with early repayment options for both the borrower and lender. The loan is unsecured and is otherwise provided on terms and conditions considered customary for an agreement of this nature.

The Board would like to take this opportunity to thank Jef for his continued support and his strong confidence in the Company. The Company’s strategic focus remains on improving profitability and achieving its scalable growth opportunities as outlined in the recent Quarterly Update[2] .

Change of Registered Office Address

The Company further advises that its registered office is now located at Suite 9, 178 Great Eastern Highway, Ascot Western Australia 6104. The Company’s principal place of business and all other contact details remain unchanged.
