MATERIAL INFORMATION
F. RAMADA - INVESTIMENTOS, SGPS, S.A. ("Ramada Investimentos") hereby informs, under the terms and for the purposes of article 248 of the Portuguese Securities Code, that together with the other shareholders has signed yesterday an agreement with Medicina Laboratorial – Doutor Carlos da Silva Torres, S.A. for the sale of its entire stake in BASE HOLDING, SGPS, S.A. ("BASE Holding").
The execution of the transaction is subject to prior notification to the Competition Authority, under the terms established in the competition legal regime and, therefore, subject to the decision of non-opposition by the Competition Authority, it is estimated that it will be concluded during the second half 2017.
BASE Holding is the parent company of a group of companies that develops its activity in the Health sector, in the areas of Clinical Analysis, Imaging, Cardiology and Gastroenterology.
BASE Holding currently has 350 doctors and holds 14 laboratories, 44 Radiology units and 7 Cardiology units, with a national coverage of the Portuguese territory. The company generated annual revenues close to 80 million Euros in 2016.
It is further informed that the transaction – whose overall amount is subject to adjustments under the terms of the agreement – will result in an estimated capital gain of more than 40 million Euros for Ramada Investimentos.
