Encerramento das Tratativas Envolvendo Potencial Operação com Porto Seguro e Oncocílnicas

O Fleury S.A. ("Fleury" ou "Companhia"), em atendimento ao disposto na Lei nº 6.404/76 e na Resolução CVM 44/21, e em continuidade ao Fato Relevante divulgado pelo Fleury em 23 de março de 2026 informando sobre as discussões a respeito de uma potencial operação envolvendo o Fleury, a Porto Seguro S.A. (B3: PPSA3) e a Oncocílnicas do Brasil Serviços Médicos S.A. (B3: ONCO3) ("Oncocílnicas" e a "Potencial Operação"), vem informar aos seus acionistas e ao mercado em geral que comunicou às Oncocílnicas, em 13 de abril de 2026, sua decisão por encerrar as tratativas relativas à Potencial Operação.

O Fleury informa que manterá seus acionistas e o mercado em geral informados sobre o assunto, caso seja concretizado qualquer fato novo que deva ser divulgado na forma da lei e da regulamentação da CVM, e reitera que analisa constantemente as condições do mercado, à luz dos seus planos de investimentos, buscando manter-se permanentemente em condições de beneficiar-se de eventuais oportunidades de mercado compatíveis com esses planos e objetivos estratégicos.

MATERIAL FACT

Negotiations Discontinuance of a Potential Transaction with Porto Seguro and Oncoclinicas

Fleury S.A. ("Fleury" or the "Company"), pursuant to the provisions set forth in Law No. 6,404/76 and in CVM Resolution No. 44/21, and in furtherance of the Material Fact disclosed by Fleury on March 23, 2026, which reported on the discussions concerning a potential transaction involving Fleury, Porto Seguro S.A. (B3: PPSA3) and Oncoclinicas do Brasil Serviços Médicos S.A. (B3: ONCO3) ("Oncoclinicas" and the "Potential Transaction", respectively), hereby informs its shareholders and the market that, on April 13, 2026, it formally notified Oncoclinicas of its decision to discontinue the negotiations pertaining to the Potential Transaction.

Fleury further informs that will keep its shareholders and the market duly informed of any developments on this matter, should any new fact arise that warrants disclosure pursuant to applicable law and to CVM regulations, and reaffirms that it continuously assesses market conditions, in light of its investment plans, with a view to remaining at all times in a position to avail itself of any market opportunities consistent with such plans and strategic objectives.
