Notice of 2020 Annual General Shareholders’ Meeting

Dear shareholders:

The 2020Annual Shareholders’ Meeting (the “Meeting”) of The First Insurance CO., LTD. (the “Company”) will be convened at 9:00 am, Tuesday, June 23, 2020 at Golden Tower, 1[st] Conference Room. (B1, No.88, SEC. 2, Jhongsiao East Road,Taipei,Taiwan.R.O.C.).

I. The agenda for the Meeting is as follows:

1.Report Items

• (1) The Business Report of the Company in 2019.

• (2) The Company’s 2019 Audit Committee Report.

• (3) The Company’s 2019 Director and Employee Remuneration Report.

• (4) Amendments to Some of the Rules of Procedure of the Board of Directors Meetings.

• (5) Amendments to Some of the Ethical Corporate Management Best Practice Principles of the Company .

• (6) Amendments to Some of the Procedures for Ethical Management and Guidelines for Conduct of the Company .

• (7) Establishment of the Handling Procedures for Using Funds in Special Projects, Public Utilities and Social Welfare Enterprises” .

2.Ratification Items

The Business Report and Financial Report of the Company in 2019.

3.Discussion Items

• (1) The Proposal of the Distribution of Earnings of the Company in 2019.

• (2) The Proposal of the Distribution of Dividends of the Company in 2019.

• (3) Amendments to Some of the Rules of Procedure of Shareholders’ Meetings

4. Other discussions and special motions

• II. According to Article 165, the Company Act, the book closure date for transfer of shares is from April 25, 2020 to June 23, 2020.
