Cleansing Statement Correction

Advanced materials company, First Graphene Limited (“ FGR ” or “t he Company ”) (ASX: FGR) advises that an earlier Cleansing Statement on the 2[nd] of July advised that the company had approved and issued 700,000 Shares (ASX Code: FGR), to Kingston Vale Pty Ltd pursuant the Company’s capacity under Listing Rule 7.1 as part-payment for services provided to the Company (Remuneration Shares). This reason for the issue of shares was incorrect. The issue of shares was as a result of exercise of 700,000 Unlisted options (ASX Code: FGRAB) at $0.25 per Share on the 2[nd] of July 2021. The securities were issued under an exception in Listing Rule 7.2 and therefore do not require shareholder approval.

An updated Appendix 2A in this regard has been lodged today.

The Company gives notice pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) that:

1. the Company issued the securities without disclosure under Part 6D.2 of the Corporations Act; and

2. as at the date of this notice, the Company has complied with:

   • the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

o section 674 of the Corporations Act; and

as at the date of this notice, there is no information to be disclosed which is excluded information (as defined in section 708A(7) of the Corporations Act) that is reasonable for investors and their professional advisers to expect to find in a disclosure document.
