3. The Issuer is relying on the qualification criteria in Section 2.2 of National Instrument 44-101 – Short Form Prospectus Distributions (“NI 44-101”) to qualify to file a preliminary short form prospectus (the “Prospectus”);

4. The Issuer has satisfied the qualification criteria in Section 2.2 of NI 44-101;

5. All of the material incorporated by reference in the Prospectus and not previously filed is being filed with the Prospectus; and

6. This certificate is made and delivered by the undersigned in accordance with the provisions of NI 44-101. Terms used with initial capitals which are not defined in this certificate are used with the meaning ascribed to such terms in NI 44-101.
