Pickle Crow Gold Project Acquisition: Conditions Satisfied or Waived

Bellavista Resources Ltd (ASX: BVR) (Bellavista or the Company) is pleased to announce that all of the conditions precedent in relation to the transaction with FireFly Metals Ltd (FireFly) announced on 2 February 2026, concerning the acquisition of 100% of the shares in Auteco Minerals (Canada) Pty Ltd (Auteco) (Acquisition), required to be satisfied prior to completion have now been satisfied or waived.

Pursuant to the Acquisition, Bellavista will acquire Auteco's 70% interest in the Pickle Crow Gold Project and exploration assets in the Uchi belt in Ontario, Canada, and exercise the option to increase that interest to 80%.

Completion of the Acquisition is expected to occur on 29 April 2026, subject to there being no material adverse change in relation to Auteco and its subsidiaries.

Settlement of the second tranche of the Company's $35 million (before costs) non-underwritten two-tranche placement detailed in the Company's ASX announcements on 2 and 4 February 2026 (Placement) is also expected to occur on 29 April 2026, with issue and quotation of the shares to be issued under the second tranche of the Placement expected to occur on 30 April 2026.
