Share Purchase Plan Notice under ASIC Class Order 09/425

In accordance with ASIC Class Order 09/425 ( CO 09/425 ), Monax Mining Limited ( Company ) gives notice that:

1. the Company will be issuing ordinary shares under a share purchase plan ( SPP ) without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) ( Corporations Act );

2. this notice is being given in accordance with CO 09/425 and in particular, paragraph 7(f)(ii) of CO 09/425 which requires the Company to give this notice to ASX within the 24 hour period before the offer under the SPP;

3. as at the date of this notice, the Company has complied with:

   • 3.1 the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

   • 3.2 section 674 of the Corporations Act; and

4. as at the date of this notice, the Company confirms that there is no information to be disclosed which is excluded information (as defined in section 708A(7) and (8) or 1012DA(7) or (8) of the Corporations Act as if the notice were a notice under section 708A(5)(e) or 1012DA(5) (e) of the Corporations Act).
