Pursuant to the recommendations of the Nomination & Remuneration Committee, the Board of Directors of the Company (the “Board”) at its Meeting held on 12[th] September, 2024 has appointed Ms. Anita Utamsingh (DIN- 01680585) as an Additional Director in the category of Non- ExecutiveNon-Independent director of the Company with effect from 12[th] September, 2024 on the Board. The said appointment will be subject to approval of the Shareholders of the Company.

Details as required under the aforesaid SEBI Circular are being furnished in an Annexure , attached hereto.

The meeting of the Board of Directors commenced at 10.00 a.m concluded at 10:35 a.m.

She has been associated with the Company and its group Companies for the past 27 years and was conducting Internal audits of the Company and its group companies. Currently, she is working as a Consultant (Advisor) -Internal Audit in the Company for more than 3 years. She is also responsible for Intellectual Property Rights of the Company which involved search, registration of Trademarks, filing oppositions and attending Court for infringement of trademarks. Prior to joining the Company, she worked for 18 years with M/s. Price Waterhouse including Article ship and was posted in M/s. Price Waterhouse’s London office during the years 1986-87. She has a work experience of 47 years in the field of Audit and 29 years with respect to Intellectual Property Rights. Ms. Utamsingh doesn’t hold any equity shares of the Company.
