FinecoBank is considering a possible issue of Senior Preferred instruments
Milan, 12 October 2021
FinecoBank informs that the Board of Directors has authorized the issue of a Senior Preferred instrument ("SP") by the end of 2021 with the objective of optimize the MREL eligible liabilities. The requirement provided by the Bank of Italy has already been communicated to the market on 31 August 2021.
The SP instrument will be denominated in Euros and intended for subscription by qualified investors, for a maximum nominal amount of €500 million, and an application will be made for it to be listed on the Multilateral Trading Facility Global Exchange Market (GEM) managed by Euronext Dublin. The widest powers have been granted to the CEO and the General Manager to make any assessments regarding the actual execution of the issue, based on market conditions.
To this end, a mandate has been given to Citigroup Global Markets Limited, Mediobanca - Banca di Credito Finanziario S.p.A., Morgan Stanley & Co. Limited and UniCredit Bank AG as joint bookrunners and joint lead managers, to arrange investor calls with potential investors in Europe, from 12 to 13 October, 2021.
Following the investor calls and subject to favorable market conditions, FinecoBank reserves the right to proceed with the issue of the Senior Preferred instrument.
