COMPANY ANNOUNCEMENT
The following is a company announcement issued by FIMBank p.l.c. (hereinafter "FIMBank" or the "Bank") pursuant to MFSA Listing Rules 5.16.5.

FIMBank p.l.c. announces that Mr. Rogers LeBaron has resigned as Director nominated by International Finance Corporation ("IFC") in terms of Art. 6 (a) of the Bank's Memorandum of Association.
FIMBank further announces that, owing to the experience and value which Mr. LeBaron may continue to offer to FIMBank during this period, the Board of Directors has, on the 24 May 2013, decided to co-opt the same Mr. LeBaron as independent Director of FIMBank pursuant to Art. 106 of the Bank's Articles of Association.
As a result of the above, Mr. LeBaron will no longer be the IFC-nominated director and will now be an independent Director on the Board. The Board welcomes the fact that Mr. LeBaron wishes to remain associated with the Bank as a Board member.
