Disclosure of received notification

Pursuant to the Belgian law of 2 May 2007 regarding the disclosure of major shareholdings in listed companies, Fagron received the following notification.

Notification of Norges Bank, received on 31 October 2019

• On 31 October 2019, Fagron received a notification that the shareholding of Norges Bank had crossed the disclosure threshold of 3% (the lowest threshold) on 30 October 2019 as the result of the disposal of voting securities or voting rights.
• The notification is made by:
  • » A person that notifies alone.
• On the notification date, Norges Bank (indirectly) held a total of 1,891,062 voting rights and 66,259 equivalent financial instruments (right to recall).
• Based on the denominator of 72,178,904 (total number of voting rights), Norges Bank (indirectly) held on the notification date 2.71% of the total number of voting rights.
• Norges Bank is the central bank of Norway. As part of its central bank activities, Norges Bank manages Norway's foreign exchange reserves and is responsible for management of the Norwegian Government Pension Fund Global (GPFG). The formal responsibility for management of the GPFG is placed with the Ministry of Finance but is delegated to Norges Bank. All investments are executed by Norges Bank acting as principal and all holdings are registered in the name of Norges Bank.

Openbaarmaking van ontvangen kennisgeving

Overeenkomstig de Belgische Wet van 2 mei 2007 op de openbaarmaking van belangrijke deelnemingen in beursgenoteerde vennootschappen, heeft Fagron de volgende kennisgeving ontvangen.

Kennisgeving van Norges Bank, ontvangen op 31 oktober 2019

• Op 31 oktober 2019 heeft Fagron een kennisgeving ontvangen dat het aandeelhouderschap van Norges Bank op 30 oktober 2019 de kennisgevingsdrempel van 3% (de laagste drempel) heeft onderschreden door de overdracht van stemrechtverlenende effecten of stemrechten.
• De kennisgeving vindt plaats door:
  • » Een persoon die alleen kennis geeft.
• Op de datum van de kennisgeving bezit Norges Bank (indirect) in totaal 1.891.062 stemrechten en 66.259 gelijkgestelde financiële instrumenten (right to recall).
• Op basis van de noemer van 72.178.904 (totaal aantal stemrechten), bezit Norges Bank op de datum van de kennisgeving (indirect) in totaal 2,71% van het totaal aantal stemrechten.
• Norges Bank is de centrale bank van Noorwegen. Als onderdeel van haar activiteiten als centrale bank, beheert Norges Bank de deviezenreserves. Daarnaast is ze verantwoordelijk voor het beheer van het Noorse Government Pension Fund Global (GPFG). Formeel is het beheer van het GPFG de verantwoordelijkheid van het Ministerie van Financiën, maar het is gedelegeerd aan Norges

Bank. Alle investeringen worden uitgevoerd door Norges Bank – die optreedt als opdrachtgever – en alle posities zijn geregistreerd op naam van Norges Bank.
