Expert.ai S.p.A. ("expert.ai" or the "Company"), in the artificial intelligence (AI) market for natural language understanding, announces that the ordinary and extraordinary Shareholders' Meeting met today on second call and resolved on all the items on the agenda. In particular the Shareholders' Meeting: (i) confirmed Dario Pardi as Director and appointed the same as Chairman; (ii) increased the number of Directors in charge by appointing Marco di Teodoro - who was previously positively evaluated by the Euronext Growth Advisor pursuant to Article 6-bis of the Euronext Growth Milan Issuers' Regulations – as Independent Director; and (iii) amended the corporate bylaws in order to, among other things, allow the Board of Directors to establish an Executive Committee pursuant to Art. 2381 of the Italian Civil Code.

Following the Shareholders' Meeting, the Board of Directors met and resolved, among other things, to establish an Executive Committee inside the Board of Directors also defining its powers and the its internal rules. The Executive Committee is composed by No. 3 Directors and, in particular, by:

• Dario Pardi, as Chairman of the Committee;
• Walter Lloyd Mayo III; and
• Marco Varone.

In this context the Board of Directors also resolved to appoint Stefano Spaggiari as Deputy Chairman.

Following the appointment by the Shareholders' Meeting, the Board of Directors resolved to appoint Marco di Teodoro –who meets the requirements of independence and is registered as an auditor - as a member of the Management Control Committee, which, therefore, results as follows

• Andrea Gabola, as Chairman of the Committee;
• Stefano Pedrini; and
• Marco di Teodoro.

The minutes of the Shareholders' Meeting and the summary report of the votes will be made available, according to the current legislation, at the registered office and through the publication on the Company's website www.expert.ai as well as on the website www.borsaitaliana.it, section Actions / Documents.
