Expert.ai: Sale of a Business Unit to Villanova.ai S.p.A., Consisting of 32 Employees Active in the "Villanova Project"
Modena, January 30, 2026
Expert.ai S.p.A. (the "Company" or "Expert.ai"), leader in the implementation of enterprise artificial intelligence solutions to create business value, announces the sale of a business unit to Villanova.ai S.p.A., a company 40% owned by Expert.ai ("Villanova"), consisting of 32 employees working on the "Villanova Project" (see press release dated April 7, 2025).
The consideration for the sale of the business unit is €0.1 million, resulting from an Enterprise Value of €1.1 million net of €1.0 million in debt, determined based on an appraisal conducted by Deloitte Advisory S.r.l. S.B. as an independent expert.
The transaction is part of a broader strategic reorganization that involves the allocation of Expert.ai employees involved in the Project and related costs directly to Villanova. At the same time, the commercial agreement between Expert.ai and Villanova to ensure the provision of the generative AI services developed as part of the Villanova Project remains in place.
It should also be noted that the sale of the business unit to Villanova:
- (i) it does not qualify as a significant transaction pursuant to Article 12 of the Euronext Growth Milan Issuers' Regulations, as it does not exceed any of the materiality indicators set forth in Schedule Three of the same Regulations;
- (ii) it was also assessed by the Company, pursuant to the procedure for related-party transactions, as a transaction excluded from the application of the aforementioned procedure, given that it was a transaction carried out with a company associated with Expert.ai and in the absence of significant interests of other related parties of the latter.
