Covata completes CipherPoint acquisition

Sydney, Australia – Covata Limited (ASX: CVT) is pleased to announce that it has completed its acquisition of US based CipherPoint Software Inc. (CipherPoint). The acquisition was initially announced to the market on 16 August 2017.

As previously announced, the completion and contribution shares which are to be issued to the CipherPoint vendors at completion were to be issued at a price equal to the higher of $0.045 or the VWAP of CVT’s ordinary shares for the 5‐days prior to completion. As a result, the issue price was $0.0818 per share, resulting in a total of 18,468,974 ordinary CVT shares being issued. The completion and contribution shares were issued under the Company’s existing placement capacity under ASX Listing Rule 7.1 and are subject to voluntary escrow for a period of 12 months. An Appendix 3B will be released shortly. The issue of the remaining consideration shares is subject to the satisfaction of milestones which are performance based.
