BOARD CHANGES

Covata Limited ( the Company ) wishes to advise that Covata Chairman and UK resident, Mr Bill McCluggage, has indicated his intention to resign as a director on 31 October 2019.

The Board has resolved that Managing Director and CEO, Mr Ted Pretty, will become Executive Chairman and the casual vacancy will be filled by Mr Graham Mirabito effective 1 November 2019.

Mr Mirabito has extensive public and private technology company experience, in particular with data driven businesses. He is also a top 20 shareholder of the Company. An overview of his experience is set out in the annexure to this announcement.

Mr McCluggage said, “After nearly four years on the Board navigating both challenging and exciting times for the Company, I have decided it is an appropriate time to allow others to lead the next phase. I have thoroughly enjoyed my time in working with management and the broader team and wish them continued success.”

Mr Ted Pretty said, “Bill has been the rock of stability on the Board since I joined the Company and has calmly guided the Board, provided encouragement to the staff and given sage and considered advice to senior management. On behalf of the Company I sincerely thank him for his contribution.”

Mr Pretty added, “I am delighted to welcome Graham to the Board and look forward to the benefit of his valuable experience in growing our business.”

Mr Graham Mirabito - Biography

Graham Mirabito has over 35 years’ experience in the information technology industry including 10 years in engineering and 25 years in sales, marketing, operations, mergers, acquisitions and general management. Graham has held senior roles at Telstra as MD Telstra Europe and EVP Telstra Asia.

Graham’s previous role for 12 years was as CEO of RP Data which he took public on the ASX in 2006 and was acquired by strategic shareholder CoreLogic in 2011. His last executive role was as CEO CoreLogic international responsible for operations in Australia, Asia and UK.

Graham is an Independent Board Director at Harcourts International (Real estate group), Auscred (online mortgage broker), Archistar (Property Generative Design).

Graham holds an Associate Diploma in Electrical Engineering from the Queensland University of Technology.
