Sub: Disclosure pursuant to Regulation 30 of The Securities and Exchange Board of India (LODR) Regulations, 2015: Outcome of Board Resolutions passed by Circulation on April 29, 2026.

REF: Exato Technologies Ltd (Scrip Code: 544626)

With reference to the captioned subject and pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company today, i.e., April 29, 2026, passed the following businesses through circulation:

• 1) Recommended the appointment of Dr. Milind Raman Godbole (DIN: 00471609) as a NonExecutive, Non-Independent Director of the Company, with effect from June 1, 2026, subject to the approval of the shareholders through the postal ballot.

The detailed disclosure as required under Regulation 30 and Schedule III of the Listing Regulations, read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, including the rationale for the appointment, shall be provided upon the completion of shareholders’ approval through postal ballot.

• 2) Considered and approved Friday, April 24, 2026 as the cut-off date/record date for determining the shareholders of the company eligible for dispatch of postal ballot Notice and remote e-voting in postal ballot.

• 3) Appointed CS Nirbhay Kumar (FCS: F11946, COP No.: 7887), proprietor of M/s. Nirbhay Kumar & Associates, Practicing Company Secretaries, New Delhi, having Peer Review Certificate Number 2441/2022, as the scrutinizer for conducting the postal ballot through remote e-voting.

• 4) Appointed KFin Technologies Limited (“KFin”) as the authorized e-voting agency for facilitating voting through electronic means in the postal ballot. The facility for casting votes through remote e-voting shall be provided by KFin.

• 5) The remote e-voting period for the postal ballot shall commence from Friday, May 1, 2026 at 09.00 am and conclude on Saturday, May 30, 2026 at 05.00 pm (IST).

• 6) Appointed Mr. Naveen Krishna as Chief Revenue Officer, designated as Senior Management Personnel (SMP) of the Company with effect from May 4, 2026

The detailed disclosure as required under Regulation 30 and Schedule III of the Listing Regulations, read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, including the rationale for the appointment, is enclosed as Annexure-A.

The aforesaid resolutions have been duly passed by the requisite majority of the Directors and shall be noted/placed before the Board at the next Board Meeting, as required under the provisions of the Companies Act, 2013.
