Quotation agreement

  • 1 +Quotation of our additional +securities is in ASX’s absolute discretion. ASX may quote the[+] securities on any conditions it decides.

  • 2 We warrant the following to ASX.

  • The issue of the[+] securities to be quoted complies with the law and is not for an illegal purpose.

  • There is no reason why those[+] securities should not be granted[+] quotation.

  • An offer of the[+] securities for sale within 12 months after their issue will not require disclosure under section 707(3) or section 1012C(6) of the Corporations Act.

Note: An entity may need to obtain appropriate warranties from subscribers for the securities in order to be able to give this warranty

APPENDIX “A”

Purpose of issue and movement in number and class of all securities not quoted on ASX:

  • 100,000 performance shares (AHDAW) have been transferred into ordinary shares (AHD) pursuant to the Amalgamated Holdings Limited Performance Share Plan (the “Plan”).

The shares have been released from the Plan’s performance hurdles on the retirement of an AHL Group employee. The AHL Group employee was a senior executive with over 43 years service within the AHL Group. The AHL Board approved the release of the shares as recognition of the employee’s service, commitment and length of tenure. On retirement the employee has forfeited an additional 31,323 performance shares. These forfeited shares will lapse to the Plan’s Trustee.

  • 295,000 options (AHDAY) have been converted into ordinary shares (AHD) pursuant to the AHL Management Share Option Plan.
