ASX ANNOUNCEMENT

The listed entertainment, hospitality and leisure operator Amalgamated Holdings Limited (“AHD”) today announced that it had agreed to terms with the New Zealand based SKYCITY Entertainment Group Limited for the acquisition of the SKYCITY Cinema business. The acquisition is subject to an exclusive due diligence period scheduled to be completed by 15 December 2009. The proposed purchase price is NZ$59 million (AUD$47.3 million).

The SKYCITY cinema business is the leading cinema circuit in New Zealand with a market share in excess of 35% of the total New Zealand Box Office revenue. The business includes 14 cinemas (106 screens) located throughout New Zealand and interests in Rialto Cinemas in New Zealand (16 screens) and SKYCITY Cinemas Fiji (10 screens).

Following satisfactory due diligence, completion of the transaction is expected to occur in February 2010.

AHD Managing Director, Mr David Seargeant commented: "the acquisition of the SKYCITY Cinema Circuit in New Zealand complements our dominant position within the Australian exhibition market and, including Germany and the Middle East, takes our total screens to over 1,300 globally”. Mr Seargeant added: “this investment is in addition to our long standing investment in the New Zealand hotel market, through our ownership of the Rydges Hotels & Resorts group".
