RE: SALE OF SKYCITY’S CINEMA BUSINESS TO AMALGAMATED HOLDINGS LIMITED

SKYCITY Entertainment Group Limited today announced that it has entered into an agreement with Amalgamated Holdings Limited (ASX: AHD) to acquire SKYCITY’s core cinema businesses in New Zealand, including its joint venture interests in the Rialto group and its joint venture interests in Fiji, for NZ$59 million.

The acquisition excludes SKYCITY’s 50% shareholding in Vista Entertainment Solutions Limited (a ticketing software, sales and support provider), all cash deposits and all freehold and long term leasehold land and buildings, which together with sale proceeds, represents a realisable value 5 to 10 percent above the book value of NZ$61 million.

The agreement is conditional on certain matters being satisfied, including completion of confirmatory due diligence by AHL and any necessary regulatory approvals. The parties aim to satisfy all conditions and complete the transaction by 15 February 2010.

SKYCITY’s cinema business in New Zealand and Fiji represents approximately three per cent of the value of the SKYCITY Group.
