ERG Renew: acquistati 11 parchi eolici in Francia e 6 in Germania per un totale di 206 MW

Prosegue il percorso di crescita all'estero

Genova, 15 ottobre 2015 – ERG Renew ha sottoscritto, oggi, un accordo per l'acquisizione da un fondo gestito da Impax Asset Management Group di undici parchi eolici in Francia, con una capacità installata di 124 MW, e di sei in Germania, con una capacità installata di 82 MW, per complessivi 206 MW. I parchi eolici, entrati in esercizio tra il 2009 e il 2014 in Francia e fra il 2004 e il 2014 in Germania, presentano una produzione annua media attesa di circa 410 GWh.

Nel perimetro dell'operazione sono incluse anche due società, una di diritto francese e una di diritto tedesco, che forniscono assistenza tecnica, operativa e commerciale, attraverso un team composto da ventotto professionisti, ad operatori eolici in Francia, Germania e Polonia, sia "captive" che terzi, per un totale di circa 800 MW (di cui 206 MW oggetto dell'acquisizione e altri 83 MW di proprietà di ERG Renew in Germania).

Il valore dell'acquisizione è di circa 297 milioni di Euro in termini di enterprise value, pari ad un multiplo di circa 1,4 milioni di Euro per MW. I parchi sono già interamente finanziati tramite project financing limited recourse. Nel 2016 il Margine Operativo Lordo atteso sarà di circa 30 milioni di Euro. ll closing è previsto entro la fine di quest'anno e il corrispettivo complessivo per l'equity, da riconoscere in tale data, è di 128 milioni di Euro.

Luca Bettonte, Amministratore Delegato di ERG, ha commentato: "questa operazione rappresenta un passo fondamentale nella strategia di sviluppo internazionale di ERG Renew che, considerando anche i 40 MW in costruzione in Polonia, raggiungerà, entro fine anno, 629 MW di installato all'estero, pari al 37% dei 1,7 GW totali installati. L'operazione, che consente al Gruppo di divenire il nono operatore eolico onshore in Francia e l'ottavo in Europa, è avvenuta in due Paesi che considerano le rinnovabili essenziali per la loro politica energetica e che riteniamo quindi fondamentali per la nostra crescita futura. L'acquisizione, infine, di due società specializzate in attività di gestione operativa permetterà di internalizzare progressivamente le attività di gestione di tutti i nostri parchi eolici, potendo così raggiungere sia importanti sinergie che sviluppare la nostra presenza come operatore industriale nei due Paesi."

ERG Renew acquires 11 French and 6 German wind farms with an overall capacity of 206 MW

Overseas expansion continues

Genoa, 15 October 2015 – ERG Renew today signed an agreement for the acquisition from a fund managed by Impax Asset Management Group of eleven wind farms in France, with an installed capacity of 124 MW, and six in Germany, with an installed capacity of 82 MW, representing an overall capacity of 206 MW. The wind farms, which came into operation between 2009 and 2014 in France and between 2004 and 2014 in Germany, have an estimated average annual output of around 410 GWh.

The transaction also includes two companies, one French and one German, which provide operational and commercial technical assistance, via a team of twenty-eight professionals, to "captive" and third-party wind power operators in France, Germany and Poland, covering an overall 800 MW (of which, 206 MW concerned with the acquisition and another 83 MW owned by ERG Renew in Germany).

The transaction's enterprise value amounts to around 297 million Euro, corresponding to a multiple of approximately 1.4 million Euro per MW. The wind farms are already entirely funded through limited recourse project financing. EBITDA, in 2016, is forecast at approximately 30 million Euro. The closing is scheduled to take place by the end of this year and the total equity consideration to be paid at such time amounts to 128 million Euro.

Luca Bettonte, ERG's Chief Executive Officer, commented: "this transaction marks a significant step forward in the international development strategy of ERG Renew which, also considering the 40 MW being constructed in Poland, by the end of the year will have a total installed capacity of 629 MW outside of Italy, corresponding to 37% of the overall 1.7 GW installed. The transaction, which allows the Group to position itself as ninth onshore wind power operator in France and eighth at European level, involves two countries where renewables are considered an essential factor of their energy policy and which we therefore view as fundamental for our future growth. Lastly, the acquisition of two companies specialised in operations management services will enable a gradual insourcing of activities pertaining to the management of our wind farms, thus making it possible to both achieve major synergies and expand our presence as industrial operators in the two countries."
