Progetto di fusione per incorporazione di ERG Supply & Trading S.p.A. in ERG S.p.A.

Genova 23 marzo 2015 – Si comunica che è stato depositato oggi presso il Registro delle Imprese di Genova il Progetto di fusione per incorporazione di ERG Supply & Trading S.p.A. in ERG S.p.A. I soci di ERG S.p.A. che rappresentano almeno il 5% del capitale sociale, con domanda indirizzata alla Società entro otto giorni dal deposito del Progetto di fusione, potranno chiedere – ai sensi dell'art. 2505, terzo comma, del Codice Civile – che la decisione di approvazione della fusione sia demandata all'Assemblea straordinaria degli Azionisti.

Infine si rende noto che, ai sensi del settimo comma dell'art. 70 del Regolamento Emittenti, il Progetto di fusione nonché le situazioni patrimoniali di ERG S.p.A. e di ERG Supply & Trading S.p.A. costituite dai rispettivi Progetti di bilancio di esercizio al 31 dicembre 2014 sono a disposizione del pubblico presso la sede della Società in Genova, Via De Marini 1, sul sito internet della Società (www.erg.it) nella sezione "Corporate Governance/Altri documenti informativi", presso Borsa Italiana S.p.A. e sul meccanismo di stoccaggio autorizzato Nis-Storage ().

I bilanci degli ultimi tre esercizi precedenti di ERG S.p.A. e il bilancio dell'unico esercizio precedente di ERG Supply & Trading S.p.A. sono a disposizione del pubblico presso la sede della Società in Genova, Via De Marini 1.

Plan for merger by incorporation of ERG Supply & Trading S.p.A. into ERG S.p.A.

Genoa 23 March 2015 – Notice is hereby given that the Plan for merger by incorporation of ERG Supply & Trading S.p.A. into ERG S.p.A. has today been deposited with the Genoa Companies' Register. ERG S.p.A. shareholders representing at least 5% of the Company's capital may submit to the Company, within eight days of the Merger Plan being deposited, a request – pursuant to Article 2505, third paragraph of the Italian Civil Code – for the decision approving the merger to be submitted to the Extraordinary Shareholders' Meeting.

We lastly announce that, in accordance with to Article 70, paragraph 7 of the Issuers' Regulations, the Merger Plan, together with the financial reports of ERG S.p.A. and ERG Supply & Trading S.p.A. comprising their respective Draft financial statements at 31 December 2014, are available to the public at the Company's head office at Via De Marini, Genoa, on the Company's website (www.erg.it) in the section "Corporate Governance/Information documents", at the offices of Borsa Italiana S.p.A. and on the Nis-Storage authorised storage mechanism ().

The ERG S.p.A. financial statements for the previous three years and the ERG Supply & Trading S.p.A. financial statements for the only prior year are available to the public at the Company's head office at Via De Marini 1, Genoa.
