Proposte ai sensi dell'art. 126-bis del Testo Unico della Finanza

Genova, 5 aprile 2023 – In relazione all'Assemblea degli Azionisti di ERG S.p.A. convocata per il 26 aprile 2023, in prima convocazione, ed, eventualmente occorrendo, per il 27 aprile 2023, in seconda convocazione, si rende noto che l'Azionista SQ Renewables S.p.A., possessore di n. 94.000.000 azioni rappresentative del 62,533% del capitale sociale di ERG S.p.A., ha presentato, ai sensi dell'art. 126-bis, primo comma, penultimo capoverso, del Testo Unico della Finanza, le proposte di delibera per i seguenti punti all'ordine del giorno:

• 1. Nomina di un Consigliere di Amministrazione
• 1. Determinazione dei compensi spettanti ai componenti il Consiglio di Amministrazione per l'esercizio 2023
• 1. Determinazione dei compensi spettanti ai componenti il Comitato Controllo, Rischi e Sostenibilità per l'esercizio 2023
• 1. Determinazione dei compensi spettanti ai componenti il Comitato Nomine e Compensi per l'esercizio 2023.

Tali proposte sono a disposizione del pubblico presso la sede della Società in Genova, Via De Marini 1, sul sito internet della Società (www.erg.eu) nella sezione "Corporate Governance/Assemblea degli Azionisti 2023", presso Borsa Italiana S.p.A. e sul meccanismo di stoccaggio autorizzato eMarket Storage ().

Proposals pursuant to Article 126-bis of the Italian Consolidated Financial Act

Genoa, 5 April 2023 – With reference to the Shareholders' Meeting of ERG S.p.A. called for 26 April 2023, on first call, and, if necessary, for 27 April 2023, on second call, notice is hereby given that the Shareholder SQ Renewables S.p.A, holder of no. 94,000,000 shares representing 62.533% of the share capital of ERG S.p.A., has submitted, pursuant to Article 126-bis, first paragraph, penultimate clause, of the Italian Consolidated Financial Act, the resolution proposals for the following items on the agenda:

• 1. Appointment of a Board of Directors Member
• 1. Determination of the remuneration payable to the members of the Board of Directors for the financial year 2023
• 1. Determination of the remuneration payable to the members of the Control, Risk and Sustainability Committee for the financial year 2023
• 1. Determination of the remuneration payable to the members of the Nominations and Remuneration Committee for the financial year 2023.

These proposals are available to the public at the Company's registered office in Genoa, Via De Marini 1, on the Company's website (www.erg.eu) in the "Corporate Governance/Shareholders' Meeting 2023" section, at Borsa Italiana S.p.A. and on the authorised eMarket Storage mechanism ().
