कंपनी अधिनियम, २०१३ च्या कलम ११० आणि प्रयोज्य तरतुदी सहवाचता कंपनीज् (मॅनेजमेंट ॲण्ड ॲडमिनिस्ट्रेशन) रुल्स, २०१४ अनुसार एस्सेल प्रोपॅक लिमिटेड (कंपनी) च्या समभागधारक/सभासदांना सूचना याद्वारे देण्यात येते की, कंपनी २२ ऑगस्ट, २०१९ रोजीच्या पोस्टल बॅलट सूचनेत नमूदनुसार पोस्टल बॅलट (ई-मतदान समाविष्ट) च्या मार्गाने सर्वसाधारण आणि विशेष ठराव मंजुर करण्यासाठी सभासदांची मंजरी मिळविण्यासाठी इच्छक आहे.

वरील बाबींशी संबंधित सभासदांना सुध्दा ही सूचना देण्यात येते की (ए) कंपनीच्या संचालक मंडळाने मोकळ्या आणि पारदर्शक बाबींमध्ये पोस्टल बॅलट घेण्यासाठी परिनिरीक्षक म्हणून मे. डी. एम. झवेरी ॲण्ड कं., कार्यरत कंपनी सचिव चे श्री. धर्मेश झवेरी यांची नियुक्ती केली आहे. (बी) कंपनीने ३० ऑगस्ट २०१९ रोजी पोस्टल बॅलट प्रपत्र आणि पोस्टेज प्रिपेड उत्तर लिफाफ्यासह दिनांक २२ ऑगस्ट, २०१९ रोजीची पोस्टल बॅलट सूचना (सूचना) पाठविणे/मेल करण्याचे काम पूर्ण केले आहे. (सी) कंपनी ही कंपनीच्या सभासदांना इलेक्ट्रॉनिक मतदान सुविधा पुरविण्यासाठी नॅशनल सिक्युरिटीज डिपॉझिटरी लिमिटेड (एनएसडीएल) च्या सेवेसह जोडली गेली आहे. (डी) प्रत्यक्ष आणि इलेक्ट्रॉनिक माध्यमाने मतदानाला रविवार ०१ सप्टेंबर २०१९ (स. ९.०० वा.) सुरुवात होईल आणि सोमवार ३० सप्टेंबर, २०१९ (सायं. ५.०० वा.) संपेल. ई-मतदान मॉड्यूल त्यानंतर मतदानाकरिता एनएसडीएलद्वारे बंद करण्यात येईल. सोमवार ३० सप्टेंबर, २०१९ रोजी (सायं. ५.०० वा.) नंतर प्राप्त सर्व पोस्टल बॅलट प्रपत्र हे अशा सभासदांकडून उत्तर प्राप्त झाले नसल्याचे म्हणून समजण्यात येतील. (ई) ज्या सभासदांना सूचना आणि पोस्टल बॅलट प्रपत्र प्राप्त झालेले नाहीत ते complianceofficer-@ep.esselgroup.com येथे प्रतिलिपी प्रतीसाठी कंपनीकडे विनंती पाठवू शकतात किंवा नोंदणीकृत कार्यालयात लिह शकतात. NOTICE TO SHAREHOLDERS FOR POSTAL BALLOT / EVOTING

Notice is hereby given to equity shareholders/members of Essel Pro pack Limited (the Company), pursuant to section 110 and applicable provisions of the Companies Act, 2013 read with the Companies (Management and Administration) Rules, 2014, that the Company seeks approval of Members for passing ordinary and special resolutions by way of the Postal Ballot (including e-voting) as set out in the Postal Ballot Notice dated 22 August 2019.

Notice is hereby also given to the Members, in respect to the above matter that: (a) The Board of Directors of the Company has appointed Mr. Dharmesh Zaveri of M/s. D. M. Zaveri & Co., Company Secretary in Practice as Scrutinizer for conducting the Postal Ballot in a fair and transparent manner (b) Postal Ballot Notice dated 22 August 2019 (the Notice) along with postal ballot forms and postage prepaid reply envelope, have been sent by courier/post to members on or around 30 August 2019 (c) the Company has engaged the services of National Securities Depository Limited (NSDL) to provide electronic voting facility to the Shareholders of the Company, (d) Voting through physical and electronic means shall commence on Sunday, 01 September 2019 (9.00 a.m.) and ends on Monday, 30 September 2019 (5.00 p.m.), Thee-Voting module shall be disabled by NSDL for voting thereafter. The Postal Ballot Forms received after 5:00 p.m. on Monday, 30 September 2019 will be treated as if the reply from such member has not been received., (e) Members who have not received the Notice and postal ballot form, may send a request to the Company for duplicate copy at complianceofficer@ep.esselgroup.com or write to the corporate office, (e) For any queries/grievances or guidance on voting through postal ballot/e-voting, members may contact Mr. Suresh Savaliya, Company Secretary at corporate office on 022 2481 9000/9200 or complianceofficer@ep.esselgroup.com and; (f) Results of voting will be announced on or around Tuesday 01 October 2019 at the corporate office of the Company and said result will be displayed in investor section on the Compary's website at its weblink https ://www. esse lpropack. com/shareho lders-i nfo rmation/.
