Sub.: Grant of Options under Employee Stock Option Scheme 2020

Dear Sirs,

The Employees Stock Option Scheme 2020 (ESOS 2020 or the Scheme) was approved by the Board on 22 May 2020 and by the Shareholders on 1 July 2020. This is to further intimate you that as per the Scheme, the Nomination and Remuneration Committee of the Board (NRC) has approved the grant of 108,226 Options to the eligible employee of the Company convertible into an equal number of equity shares of face value of Rs. 2 each to be allotted by the Company, at an exercise price as mentioned below. The said Options will vest in a phased manner during the next five years, as per the provisions of the Scheme or Vesting Terms. Following are prescribed disclosures and details in respect to the above-mentioned Options.
