Sub.: Grant of Options under Employee Stock Option Scheme 2020

Dear Sirs,

The Employees Stock Option Scheme 2020 (ESOS2020 or the Scheme) was approved by the Board on May 22, 2020 and by the Shareholders on July 1, 2020. This is to intimate you that as per the approved Scheme, the Nomination and Remuneration Committee of the Board (NRC), has approved on August 17, 2020 the grant of 3,836,099 Options to the eligible employees of the Company and its subsidiaries convertible into an equal number of equity shares of face value of Rs. 2 each to be allotted by the Company, at an exercise price as mentioned below. The said Options will vest in a phased manner equally in every year during the next five years, as per the provisions of the Scheme. Following are prescribed disclosures and details in respect to the above mentioned Options.
