CLEANSING NOTICE – SECTION 708A(5)(e) CORPORATIONS ACT 2001

7 December 2023: Environmental Clean Technologies Limited (ASX:ECT) ( Company or ECT ) gives this notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Act ).

On 7 December 2023, the Company issued 14,510,000 fully paid ordinary shares (New Shares) at an issue price of $0.0055 per share. These shares are related to the approval granted by shareholders at the Company AGM held on 27 November 2023, which was in connection placement to sophisicated and professional investors announced to the market on 17 August 2023. The Company has also issued 2,245,265 fully paid ordinary shares, which were in relation to resolution 10 of the Company AGM as announced on 26 October 2023. These shares were granted approval at the Company AGM.

The New Shares will rank equally with all other shares on issue.

The Company advises that:

• (a) the New Shares issued pursuant to the Placement were issued without disclosure under Part 6D.2 of the Act;

• (b) this notice is given under section 708A(5)(e) of the Act;

• (c) as at the date of this notice the Company has complied with the provisions of Chapter 2M of the Act as they apply to the Company, and section 674 and 674A of the Act; and

• (d) As at the date of this notice there is no information:

  • i. that has been excluded from a continuous disclosure notice in accordance with the Listing Rules; and

  • ii. that investors and their professional advisors would reasonably require for the purpose of making an informed assessment of:

    1. The assets and liabilities, financial position and performance, profits and losses and prospects of the Company; or

    2. The rights and liabilities attaching to the Securities.
